What it does
Vertiv sells critical power β UPS, switchgear, and next-generation 800 VDC systems developed with NVIDIA β alongside thermal management that is shifting from precision air conditioning to liquid cooling: direct-to-chip plates and coolant distribution units. Plus prefabricated modular datacentres and lifecycle services. It sits between the grid and the chips.
Liquid cooling is a physics requirement, not a preference. Above roughly 40kW per rack, air cannot carry the heat away fast enough, and AI racks are well past that. So the transition is not a product cycle Vertiv has to win β it is a constraint the industry has to satisfy, and Vertiv holds about 23% of precision cooling.
The most important thing on this page is a disclosure change. The Q2 2026 release contains no backlog figure and no orders number at all. The Q2 2025 release led with backlog β $8.5B at ~1.2x book-to-bill β and entering 2026 the company pointed at ~$15B, after Q4 2025 organic orders rose ~252% YoY.
Companies headline backlog when it is growing and go quiet when it is not. The counter is that backlog is management-defined while deferred revenue is audited β and deferred revenue went from $1.815B at 31 December to $3.634B at 30 June. Customer cash paid for undelivered equipment doubled in six months.

- Backlog and orders are no longer disclosed β the cleanest forward indicator in the category is simply gone. A second quarter of silence would be a genuine concern
- Growth is decelerating. Q2 2025 was +35%; Q2 2026 is +24%, and only 18% organic
- The risk has shifted from order intake to conversion. Management cited "temporary supply chain congestion and multi-phased project execution" causing timing shifts, while pushing capex toward ~4% of revenue
- Analyst targets cut across the board with ratings intact: RBC $418β$337, Citi $414β$358, Evercore ISI $425β$375, Goldman $352β$301; consensus ~$338 across 28 analysts. The Street trimmed multiple and timing, not the thesis
- ETN bought Boyd Thermal for $9.55B in March specifically to attack this market, and Schneider is in a dead heat on overall share. The giants are aiming directly at liquid cooling

Read-through. NVIDIA's rack roadmaps are the key upstream signal β as rack power density rises, air cooling stops working and liquid cooling becomes mandatory, and that transition is Vertiv's growth curve. Hyperscaler capex guidance is the demand input, but Vertiv's revenue lags it, because power and cooling are installed during the build rather than at the end β which is why STRL's site progress is an earlier read than Vertiv's own orders. The neoclouds are a newer customer class whose capacity announcements convert into thermal and power orders. The cross-category tension is the thing to hold onto: ETN bought Boyd Thermal specifically to attack this market, so if Eaton starts winning integrated power-and-cooling deals that is simultaneously bullish Grid Equipment and bearish Datacenter Thermal. It also competes with Schneider, NVT, Munters and SMCI on cooling.
What would change the view
- Q3 revenue landing inside guidance β the direct test of the execution-timing concern
- Deferred revenue in the Q3 10-Q β now the best available proxy for forward demand, replacing book-to-bill
- Any resumption of backlog disclosure. A second quarter of silence would be a genuine concern
